Ross and Tim met with the two lawyers who would advise them about how to handle the legal situation with Tim's new company, in regard to the close in by both the creditors of the company's former owners, and the tax department.
The tax lawyer began by saying. "Gentlemen, my associate and me will deal with the issues that Tim's company is facing by both the tax department and the creditors. The real problem is not that the company has creditors, or tax issues. The problem is that this company has issues with both the tax department, and creditors. It is not as simple as "The company files for bankruptcy, and then the company is out of the creditors, or the creditors get pennies on the dollar, that would happen with a regular bankruptcy proceeding. The real problem is, how to deal with both the tax department and the creditors at the same time. Our job will be to talk to the tax department and keep them at bay, while suing the people that sold the company to Tim under basically false pretenses. We want the former owners to ante up the money to pay any of Tim's obligations to both the tax department, and the creditors, and to force them to pay not only the creditors and tax department, but also the legal fees. This will be a process as they like to say, and it might take a while" The lawyer said.

The lawyer continued. "If anyone from either the tax department or any creditors contact you by phone, refer said person or people to us, and do not speak to anyone in any way. With you guys not being lawyers, you don't want to do anything to make the case worse. Simply say "Contact my attorney, give them the names and numbers, and hung up, or forward any legal correspondence you receive straight to us. That what you are hiring us for, to do all your work for you" The lawyer said.

"My advice. I know that both of you run major companies. Go back to your offices, focus on your work, and we will talk about this. Our first two situations will be to look over the contract that Tim had with these people, and then to contact said people with a lawsuit via process server. Once we do that, they or their lawyers have 30 days to reply. If they do not reply, we take the case to court, and move ahead with suing. In the meantime, we tell the tax department just what you and Tim are telling us, that the former owners sold the company to Tim under false pretenses, and left the company with tax obligations that the former owners are now trying to make Tim be responsible for. I have every reason to believe that if and when the tax department hears this, they will either just hold their advancement, or perhaps even , review the case, and try to go after the former owners for the taxes while leaving Tim alone. That is the unknown" The lawyer said.

If I go, I will not be gone long., Between the regular work, this , and the shopping mall deal being dead, my thought is just to distract Steve , Mister P and myself with say, a fifteen person oil and gas deal to make some cash, while we figure out maybe the next real estate project if any. Maybe we need to just build a small cul de sac housing development, either do it ourselves with the money, or get a few investors, and make some solid cash, and then see. I have to think about it.
