When Ross got to OKC, Fritz and Steve picked him up at the airport in their SUV, and then the men started discussing the business at hand.
"Supposedly, this is an old man who has been in all kinds of business. He has built up a major energy company that he wants to sell off. Based on what he told me, he thinks that RFS Energy would and will be the right company to acquire his holdings. Even if we dont take all of them, and take a part of his company, whether a third, fifty percent, or two thirds, it will be an important nice little project and acquisition for us. We are going to be working on this , so we wont be doing any investor shows this trip, as this situation is far more important to us than signing any group of investors" Fritz said.
"Sounds good, so how do we go about it?" Ross asked.
"Today it's to the office to look over the exact paperwork this gentleman sent me on his holdings. We look it over, discuss it, figure out what we think we want to buy, meet with him tomorrow for a discussion, and then go forward. We have no specific timetable but I'm figuring hopefully thirty to sixty days, so maybe you would come down here one or two more times, if we cant look over his fields this time, and then for the signing" Fritz said.
"Any ballpark of what this all might cost us?" Ross asked obviously.
"One hundred mil to two hundred fifty mil, a bargain., We can pay cash for some of it, and finance some of it, and make payments on a bank loan from some of our yearly fees from other deals . It will be managable" Fritz said.
Ross, Fritz, and Steve got to the office, ordered Chinese food in, looked over the papers, and began the discussion.
"Any chance of buying this in pieces, over say a year's time, say, fifty million quarterly, just to make sure?" Ross asked.
"The geological looks great, but of course before we do anything we will send our own usual teams in to evaluate it themselves" Fritz said.
"Partner that does not answer my question" Ross said, in a straight but polite tone.
Fritz sighed. "I think we can negotiate something, citing that you need to take some of the money from RossShell, and have a short term cash flow problem. We wont buy or pay for it all at once, I promise" Fritz said, to calm Ross down.
Ross smiled. "That sounds just fine"
The men went out for burgers for dinner, and then it was back to Ross's hotel where he called Kayley.
"So what is going on?" The Teacher asked.
"We hope a company and assets Acquistion from a man who is retiring,. We meet with him tomorrow. The reports look good, but I told Fritz that I want to buy this company in pieces, and not just plunk down cash. I am figuring one quarter each for all four quarters this year, drill some wells with our teams here, and Fish's team in Canada, have some wells come in, and then keep buying the rest. I hope that this guy agrees to it. Otherwise I have to be skeptical" Ross said.
"Very prudent. Teacher is proud of you" Kayley said.
"Thanks,. I'm trying to be more careful with how I'm handling RossShell and this. Having these assets to replace or pump out the energy wells would be very nice, and a very good Acquistion, but I want it to make sense financially" Ross said.
"Good. Good Luck. I hope it all works out, and I Love You" Kayley said.
"Thanks, and I love you too. I will call tomorrow when you get home from work. Hopefully by then the meeting with the guy will be over" Ross said.
The next morning, Fritx, Steve, and Ross had breakfast together, went to the office to look over reports, and then met for lunch with the man who wanted to sell them the company. His name was Paul.
"Guys, thanks for having this meeting" Paul said.
"Our pleasure, Paul, we hope it will benefit everyone at this table" Fritz said.
The men ordered lunch, made small talk, and then got down to business
"Okay, bottom line, I'm much older than any of you guys are, and I want to sell out, or as much as I can. I am prepared to sell one hundred percent of what I have to you, or anyone who wants it" Paul said.
"Sounds good to us, please name a price, and then we will talk" Ross said, not wanting to show his cards so to speak until Paul put forth his thoughts.
"Two hundred fifty mil for the whole company. If you dont want to buy that much, please tell me the maximum you would be willing to spend, and we will talk" Paul said.
"We talked about it last night. We can buy fifty percent of that, but no more, so one hundred to maybe up to one fifty at most. There might be a cash flow problem, so until we do our own evaluation by our team, I would like to pay you four equal quarterly payments of say twenty five to thirty mil each a quarter. By the end of twelve months, you will have your half sold to us. Now, if you cant find any other buyers, the company works out for us, we might be able to buy more next year depending upon how your wells pay off, whether we can sell investor pieces to ours or other people, and how other things in our company separate from this pan out" Ross said.
Paul smiled. "That sounds completely fair to me, and I thank you. How would you like to go about this?"
"How about ASAP we send our team of people to one of your fields. They drill, and when they find the product, evaluate it specifically, and tell us. If it turns out to be what you say, or close, then we finalize a price, sign a deal, make the first quarterly payment, and you transfer the assets to us, twenty five percent each when we make the payment. This sounds like it might be a straight deal, and might be rather simple, assuming the product we need is there" Ross said.
"Sounds good to me. Let';s bump fists on it, and we have our verbal agreement" Paul said, as Paul, Ross, Fritz and Steve bumped fists.
"Hopefully our evaluation will be completed and finished in thirty days, and you will have your first payment. After that, equal payments every ninety days" Ross said.
"Just fine, and thank you all. This has been such a productive meeting" Paul said.
When the lunch meeting broke up, and Fritz , Steve and Ross were headed back to the office, everyone was in a good mood.
"This might turn out to be one of the sweetest deals we ever did, but, ah, Ross , have you thought about what we are going to do about Fish with this?" Fritz asked, honestly, but not to dampen the mood.
"Yes, I have,. We get the papers from Paul, show the agreement to Fish. Either he wants to buy in for however much, and can sell some to his investors that we split four ways, or, if he gives us static, he stays out of it. I have enough bullshit from Charles Harton in the office without having to fight with Fish" Ross said.
"Okay, so when do you have to go home?" Fritz said.
"No timetable. Kayley knows I might sleep over three nights. I can go home tomorrow or in two days. I will stay tonight, make an afternoon flight tomorrow, and be home late night tomorrow so its a compomise. In the meantime, we can either do one investor show or shoot the breeze" Ross said.
"Let me try to get together fifty investors just to do a small show. If not, we will figure something to do" Fritz said.
"Fine partner" Ross said.
Ross, Fritz and Steve went back to office, and got together seventy five investors to do a show for the next day. Whatever happened with that, it almost did not matter, because hopefully the important business was on its way.
Ross, Fritz and Steve had dinner, and then Ross went back to the hotel.
When he called Kayley, her first obvious question was "So how did it go?"
"I dont want to say too much, but, we think and hope well. If it goes through, which we think it will, it will happen gradually. I'm going to sleep here tonight, we will do one show tomorrow, and I will be home by midnight tomorrow night. I thought we should do at least one show while I was here, but hopefully what we did today, will turn out to be far more important" Ross said.
"Wonderfui! I'm so happy for you guys. See you tomorrow night" Kayley said.
"Sweet dreams, teacher. I love you" Ross said.
The next morning, Ross awakened, the men had breakfast, went to the field, and did a show for one hundred people. Thirty five signed up, but that almost was not a concern.
By noon, Ross was being driven to the airport. He got on a 3 pm flight to JFK, which with change in Dallas, landed at JFK at 830 NY time.
Ross went home, and Kayley was lying in bed reading.
"Hmm, good evening oilman. Sounds like it was a good trip" Kayley said.
"We hope and pray. How are you?" Ross asked.
"Oh, fine got stuck with having to sit in detention with the bad people today. How nice" Kayley said.
"I just want to check the machine" Ross said.
"Ross, you seem like you're in such a positive mood, if Harton left a message, please dont let it affect you" Kayley said.
"Screw Harton. I'm not even going into the office tomorrow. If he called, I will call him back tomorrow afternoon" Ross said.
"Ah, no I'm guessing you dont want to screw Harton, but you can screw the teacher if you are up to it" Kayley said.
"Of course I dont want to screw Harton, and yes, maybe I will just want to screw you, teacher. Let me see how I feel when I get into bed" Ross said.
Ross went into the den, and thankfully all was quiet. No hysterical messages from Harton, Timothy, or the RossShell office.
"Let me just take a shower, and I am all yours teacher" Ross said.
Ross showered, got into bed with Kayley, and they got into it. Kissing all over, oral sex, and intercourse.
Ross was in the best mood about business that he had been in a long, long time.
If Ross, Fritz, and Steve could pull this Acquistion off with Paul, then it was highly possible that Ross would want to uncomplicate his life.
As Ross lied in bed after he had made love to Kayley, and Kayley slept next to him, Ross loosely decided that if this deal went through, Ross was going to tell Harton straight out to either cool his act and stop being so difficult, or Ross was prepared to resign from Harton's account.
Ross drifted off to sleep trying to focus on the hopefully very positive trip to OKC, meeting with Paul, and RFS Energy, hopefully making a major acquistion.
Would Ross still be in a good mood when he went to the office the next morning, and learned of what was happening there?
